  • In the absence of fraud, gross negligence and wilful default, the Trustee directly or its agent shall not be liable (whether directly or indirectly, in contract, in tort or otherwise) to the Issuer, the ETP Securityholders or any Programme Party for any calculation (or any delay in making any calculation) so made.

  • In addition, in connection with the offering of the Credit Linked Notes, the Issuer and/or any other Programme Party may enter into one or more hedging transactions with respect to any applicable Reference Obligation or related derivatives.

  • None of the Issuer, any Programme Party or any Affiliate of any such persons makes any representation as to the credit quality of the Margin Loan Provider or any Collateral Assets.

  • The Arranger will not be responsible for updating any Programme Party, including the Portfolio Administrator, of any Business Changes and shall not be responsible for any adverse effects of such Business Changes on the ETP Securities.

Programme Party includes (but is not limited to) each of the Lead Programme Agencies and the Implementing Agencies. “Programme Village” has the meaning ascribed to such term in paragraph 1 of Schedule 1.

Related to Programme Party

  • Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.
