Programme Memorandum definition

Programme Memorandum means this document so entitled in respect of the Programme dated 8 February 2019; provided that if the Issuer publishes a new Programme Memorandum or a supplement to the Programme Memorandum, as the case may be (as contemplated in the section of this document headed "Documents Incorporated by Reference"), references to "Programme Memorandum" shall be construed as references to that new Programme Memorandum or the Programme Memorandum as supplemented by that supplement to the Programme Memorandum, as the case may be;
Programme Memorandum means in respect of the Issuer the programme memorandum, as updated, supplemented or restated from time to time in respect of the issue of Notes under the Programme.“Prospectus Regulation”Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market.“Record Date”has the meaning ascribed to it in the Conditions.“Redemption Amount”means the amount specified as such in the Conditions.“Redemption Date”means the Final Redemption Date or, if earlier, the date on which the Notes of a Series are redeemed in full in accordance with the Conditions.“Register”means the register kept by the Registrar pursuant to the Agency Agreement.“Registered Certificates”has the meaning ascribed to it in the Conditions.“Registered Note(s)”has the meaning ascribed to it in the Conditions.“Registrar”means any person in the capacity of Registrar and any Successor or other registrar appointed by the Issuer in accordance with the provisions of the Agency Agreement.“Relevant Interest Payment Date”has the meaning ascribed to it in the Conditions.“Senior Obligations”means any and all amounts that are due and payable by the Issuer, from time to time, other than payments of principal and interest to the Noteholders in respect of a Series of Notes or to the holder of any other notes that may be issued by the Issuer, including, without limitation: (a) any and all amounts payable by the Issuer under the Programme that are apportionable or attributable to a Series of Notes other than payments of principal and interest to the Noteholders in respect of such Series of Notes; (b) any and all Expenses; and (c) any secured debt (if any) of the Issuer.
Programme Memorandum means the document so entitled in respect of the Programme pursuant to the which Accelerate (in its capacity as ‘Issuer’) lists the Programme on the Interest Rate Market of the JSE Limited, provided that if Accelerate publishes a new Programme Memorandum or a supplement to the Programme Memorandum, as the case may be (as contemplated in the section of the Programme Memorandum headed “Documents Incorporated by Reference”), references to Programme Memorandum shall be construed as references to the new Programme Memorandum or the Programme Memorandum as supplemented, as the case may be;

More Definitions of Programme Memorandum

Programme Memorandum means a document containing the provisions, required by this section, in respect of one or more securities which may be issued by the issuer, which programme memorandum is supplemented by a pricing supplement containing the specific terms of each issue of a security;
