Program Technology definition

Program Technology means Program Know-How and Program Patents.

Program Technology means the Core Technology and the Developed Technology.

Program Technology means any Technology conceived or first reduced to practice in the conduct of the Research Program.

Program Technology means any Know-How (including any new and useful process, method of manufacture or composition of matter) or Proprietary Material that is conceived and first reduced to practice (actually or constructively), whether or not patentable, by employees of, or consultants to, either Party or jointly by both Parties, in the conduct of the Research Collaboration or in connection with the development or commercialization of Research Compounds and/or Licensed Products.

Program Technology means all Know-How (other than TAP Platform Improvements) that either Party or any of its Affiliates, Sublicensees or Permitted Third Party Service Providers (or any of their respective employees, agents or independent contractors), alone or with others, makes, creates, develops, discovers, conceives or first actually reduces to practice pursuant to the Development, Manufacture, use or Commercialization of any Licensed Product, including any Patent Rights related thereto. Program Technology also includes “Program Technology” (as defined in the Research Collaboration Agreement) that is necessary or useful for Developing, Manufacturing, using or Commercializing Licensed Products and that claims, covers or is specifically directed to the composition of, or any method of using or method of making any Licensed Product, Linker or Cytotoxic Compound comprised in any Licensed Product.

Program Technology means Technology developed, in the course of performing the Research Program by employees of or consultants to Pfizer or Xenogen Cranbury solely or jointly with each other, excluding Results and Level IIIXC Assays, but including, without limitation, Xxxxx X, Xxxxx XX xxx Xxxxx XXXX Assays.

Program Technology means Technology developed by or on behalf of either party or any of its Affiliates in the course of the activities contemplated by this Agreement.

Program Technology means any Technology conceived or first reduced to practice in connection with the Development or Commercialization of any Licensed Product. Program Technology also includes any “Program Technology” (as defined in the Multi-Target Agreement) that is necessary or useful for Novartis to exercise the license granted to it pursuant to Section 2.1(a) hereof.
