Product Revenue definition

Product Revenue means the revenue received by the JV Participants from the sale of Products.
Product Revenue means any net revenue generated from the sale of any Products in the Field and within the Territories (defined below). In calculating “Product Revenue,” any royalty or other fees PharmaCyte is currently contractually obligated to pay Bavarian Nordic A/S and GSF – Forschungszentrum für Umwelt u. Gesundheit GmbH (“Bavarian Nordic/GSF”) under PharmaCyte’s License Agreement with Bavarian Nordic/GSF, as amended, will be taken into account in calculating Product Revenue.
Product Revenue is product revenue determined in accordance with GAAP; provided that Product Revenue shall not include revenue from any license or royalty transaction.

Examples of Product Revenue in a sentence

  • Total Product Revenue is the PBM’s net revenue which consists of sales of prescription drugs to clients, either through retail networks or PBM-owned or controlled mail order pharmacies.

  • Example: if the combination product is sold for USD 20,000 and consists of the Licensed Product (which would be sold separately for USD 12,000 as a fair market value) and one other product (which would be sold separately for USD 18,000 as a fair market value), then the Licensed Product Revenue would be USD 2,000: i.e. 20,000 x (12,000 / (12,000 + 18,000)) x 25% = 2,000.

Product Revenue means the estimated product revenues identified on Schedule 2(d)(i)(B)(i) to this Amendment, which estimated revenue levels are estimates reported by Bloomberg Financial Services. The Lenders acknowledge that such estimates have not been prepared by the Company and the Company’s agreement herein to include such estimates as the “Product Revenue” for purposes of this Amendment does not constitute the Company’s adoption or endorsement of such estimates.
Product Revenue shall have the meaning set forth in Exhibit B.
Product Revenue means, with respect to any Product: (a) the sum of (x) Net Sales of such Product by Providence or its Affiliates (but excluding Net Sales by Providence’s Sublicensees) and (y) Other Product Revenue with respect to such Product; less (b) royalties and milestone payments actually paid by a Party or its Affiliates to a Third Party under a Third Party License with respect to a Sublicensee’s Development or Commercialization of Product, except to the extent such Sublicensee is obligated to reimburse a Party or its Affiliates for such milestone or royalty payments. Product Revenue will be determined from books and records maintained by a Party or its Affiliate in accordance with applicable Accounting Standards, consistently applied throughout the organization and across all products of such Party or its Affiliate.
Product Revenue means, with respect to Borrower and its Subsidiaries, product revenue (determined under GAAP) whether direct or through royalty arrangements (i.e., net of any deductions, commissions, other fees or any other amounts withheld by or paid to any other party relating to such product) with respect to products (including, without limitation, products licensed from unaffiliated third parties) of Borrower and its Subsidiaries that are sold to non-Affiliate third parties (and excluding, for the avoidance of doubt, any payments resulting from collaborations or similar transactions between third parties and Borrower or its Subsidiaries).
Product Revenue means the aggregate license fees invoiced to a Registered Prospect who licenses Products less charges in respect of (i) outbound shipping, packaging, insurance and delivery, separately billed to the Registered Prospect or prepaid; (ii) taxes, duties, and similar governmental charges (not including PR's net income tax); (iii) rebates, discounts and refunds remitted to the Registered Prospect; and (iv) Product returns by the Registered Prospect. Product Revenue shall include both initial and subsequent licenses by PR to such Registered Prospect, at any time during the duration of the project that is the subject of the Prospect Registration Form. Product Revenue shall not include any revenue payable in respect of PR's maintenance, support, training, installation and other professional services. Xxxxxxxx Consulting may, however, xxxx up and resell PR's professional services on a case-by-case basis pursuant to a mutually agreed subcontract agreement among the parties.
Product Revenue means, with respect to the Borrower or any Obligor, all amounts paid to and received by such Person in the ordinary course of business that, in accordance with GAAP, would be classified as net revenue, excluding upfront payments, milestones, royalties and other similar one-time payments received by such Person that are not related to the sale of products or services; provided that Product Revenue shall exclude any of the foregoing amounts received by the Borrower or an Obligor from any other Borrower, Obligor or their respective Subsidiaries.
Product Revenue means the Company’s annual product revenue in the amount that is included in the audited consolidated financial statements in conformity with accounting principles generally accepted in the United States as reported in the Company’s Annual Report on Form 10-K with respect to a Performance Period.
