Product Know-How means Know-How

Product Know-How means as owned, licensed or Controlled by Seller and primarily or exclusively related to the Product Line Business or Product, the research and development information, validation methods and procedures, unpatented inventions, know-how, trade secrets, technical or other data or information, or other materials, methods, systems, procedures, processes, materials, developments or technology, including all biological, chemical, clinical, manufacturing and other information or data, other than such know-how which is or becomes the subject of a Patent.

Product Know-How means Know-How which (i) is Controlled by Seller as of the Closing Date; (ii) was used for or created as a result of the Development or Commercialization of the Product prior to the Closing Date; and (iii) [****] relates to the manufacture, use, Development or Commercialization of the Product, whether patentable or not. A listing of certain Product Know-How is set forth on Exhibit 8.

CyDex shall also, for a period of [***] after the Effective Date, make its personnel available to MDCO and its Contract Manufacturers to respond to informational inquiries and provide technical assistance related to the Product Know-How and the Captisol Data Package.
MDCO may not sublicense its rights to the Captisol Data Package or Product Know-How, except as expressly set forth in Section 2.3 below.
Subject to the terms and conditions of this Agreement, CyDex hereby grants to MDCO an exclusive, nontransferable (except with respect to the assignment provision in Section 14.15 and even with respect to CyDex and its Affiliates) license during the Term under CyDex’s rights in and to the Captisol Data Package and Product Know-How, solely to research, develop, make, have made, import, use, offer for sale and sell the Licensed Product in the Territory in the Field.

Notwithstanding the foregoing, to the extent that any Captisol Data Package and Product Know-How are licensed to CyDex or its Affiliates by a Third Party on a non-exclusive basis, the license granted to MDCO in the foregoing sentence shall be exclusive as to CyDex and non-exclusive as to any Third Party.

More Definitions of Product Know-How

Product Know-How means any and all technical data, information, material and other know-how that relate to the formulation of Clopidogrel Products, including, without limitation, any analytical methodology, chemical, toxicological, pharmacological and clinical data, formulae, procedures, protocols, techniques and results of experimentation and testing, solely owned, developed or acquired by Licensor as of the date hereof.

Product Know-How means Know-How to the extent related to the properties, manufacture or use of any products.

Product Know-How means all know-how, show-how, technical and non-technical information, trade secrets, formulae, techniques, sketches, drawings, models, inventions, designs, specifications, processes, apparatus, equipment, databases, research, experimental work, development, pharmacology and clinical data, software programs and applications, software source documents, third-party licenses, and any similar type of proprietary intellectual property right related to the Product or any Additional Product, either (a) now existing or (b) hereafter created that cover, in whole or in part, the use for a Cardiovascular Indication of any prescription or OTC pharmaceutical product containing Omega-3 fatty acids as an active ingredient, together with all modifications, enhancements and improvements thereto that is owned or licensed (with the right to sublicense) by PRONOVA.

Product Know-How means information or data, including regulatory documentation, necessary for the manufacture, use, importation or sale of Licensed Products in the Field in the Territory, owned, licensed or generated by CyDex and its Affiliates, before and during the Term of this Agreement relating to the Compound and/or Captisol.

Product Know-How means any Research and Development Program Know-How that is predominantly directed to the composition of matter, treatment with, or the delivery of, Manufacture, form, formulation, or use of a Candidate or Product in the Field and is not generally applicable to compositions or products in addition to or other than a Candidate or Product.

Product Know-How means all Information Controlled by GCLC or any GCLC Subsidiary as of the Effective Date or during the Term that relate specifically to the Product or its manufacture or use (and are not otherwise included in GCLC Core Technology). Product Know-How excludes any Additional Joint Inventions.
