Process in any Proceeding referred to in the first sentence of this Section may be served on any party anywhere in the world.
As a condition precedent to an indemnified Person’s right to be indemnified pursuant to this Section 4.8(b), such indemnified Person must notify the Company in writing as soon as practicable of any Proceeding for which such indemnified Person will or could seek indemnification.
With respect to any Proceeding of which the Company is so notified, the Company shall be entitled to participate therein at its own expense and/or to assume the defense thereof at its own expense, with legal counsel reasonably acceptable to the indemnified Person.
For purposes of this Section and without limitation, the termination of any claim, issue or matter in such a Proceeding by dismissal, with or without prejudice, shall be deemed to be a successful result as to such claim, issue or matter.
Instances of Grantee operational fraud or criminal activities, regardless of whether a legal Proceeding has been initiated, shall be reported to the Department’s Grant Manager within twenty-four (24) hours of the Grantee being made aware of the incident.
