For the avoidance of doubt, any and all reasonable costs and expenses incurred in connection with this Agreement shall be reimbursed by the Securityholders on a Pro Rata Basis, severally, but not jointly or jointly and severally.
The Agent may, at the expense of the Securityholders on a Pro Rata Basis (severally, and not jointly or jointly and severally), employ one or more professionals to advise or assist it from time to time.
