Pro Forma Projections definition

Pro Forma Projections means the consolidated pro forma projected balance sheet and consolidated pro forma statements of projected income and cash flows for each of the Fiscal Years ending 1999 through 2004 of the Borrower and its Subsidiaries, including the Acquired Company and its subsidiaries, giving effect to the Acquisition Transaction, in form and substance acceptable to the Agent.
Pro Forma Projections means the pro forma projections prepared by management of the Borrower, giving effect to the Transactions, of balance sheets, income statement and cash flow statements on a quarterly basis for the two years commencing with the third fiscal quarter of 2011, and on an annual basis commencing with the 2011 fiscal year through the end of the 2018 fiscal year, in each case, as delivered by the Borrower to the Administrative Agent prior to the Effective Date.
Pro Forma Projections has the meaning ascribed to such term in Section 5.5.
