Privileged Materials definition

Privileged Materials has the meaning set forth in Section 9.14.

Privileged Materials is defined in Section 13.14.

Privileged Materials means any documents, materials or other information that (i) are protected by the attorney-client privilege, the attorney work product doctrine, and/or similar privileges, including any opinions of counsel, claim charts and communications to or from counsel, (ii) include confidential or proprietary information of any third Person, or (iii) include personally identifiable information of individuals.

• Absent the prior written consent of the Holder Representative, neither the Purchaser nor (following the Closing) the Company shall have a right of access to Privileged Materials.
