Private Investment Partnership definition

Private Investment Partnership means a hedge fund, private investment fund or other collective investment vehicle that holds securities, commodities or other investment assets, or otherwise would meet the definition of an “investment company” as defined in Section 3 of the IC Act but for the exemption in section 3(c)(1) or 3(c)(7). Private Investment Partnership does not include an entity that solely holds real estate (whether industrial/commercial property or residential/family property.)

  • Blackstone means Blackstone Capital Partners V L.P. and its Affiliates.

  • Family of Investment Companies as used herein means two or more registered investment companies (or series thereof) that have the same investment adviser or investment advisers that are affiliated (by virtue of being majority owned subsidiaries of the same parent or because one investment adviser is a majority owned subsidiary of the other).

  • Asset Management Company means an asset Management Company as defined in the Rules and Regulations.
