Private Global Certificate definition

Private Global Certificate. Each of the Regulation S Global Certificate or Rule 144A Global Certificate with respect to the Private Certificates so long as any such Class of Certificates is registered in the name of a nominee of the Depository.
Private Global Certificate. Each of the Regulation S Global Certificates or Rule 144A Global Certificates with respect to the Class X, Class D, Class E, Class F, Class G, Class H, Class J, Class K, Class L, Class M, Class N, Class O and Class P Certificates if and so long as such class of Certificates is registered in the name of a nominee of the Depository.
Private Global Certificate. As defined in Section 5.01 hereof.

  • It is the intent of the foregoing that under no circumstances may an Institutional Accredited Investor that is not a Qualified Institutional Buyer take delivery in the form of a beneficial interest in a Private Global Certificate.

  • Notwithstanding any provision to the contrary herein, so long as a Private Global Certificate remains outstanding and is held by or on behalf of the Depository, transfers within the Private Global Certificates shall only be made in accordance with this Section 5.02(c)(ii).

  • If a Holder of an Individual Certificate wishes at any time to transfer such Certificate to a Person who wishes to take delivery thereof in the form of a beneficial interest in the related Private Global Certificate, such transfer may be effected only in accordance with all applicable rules and procedures of the Depository applicable to transfers by their respective participants (the "Applicable Procedures"), and this Section 5.02(c)(iii).
