Primary Units definition

Primary Units has the meaning given to such term in Section 2.02(b).
Primary Units means at any time the authorized but unissued Units.

  • The Partnership is in compliance in all material respects with all federal and state securities laws, rules and regulations applicable to it and its activities, including, without limitation, with respect to the Offering and the sale of the Primary Units.

  • There has not been (i) any issuance by the Commission of any stop order suspending the effectiveness of the Registration Statement or the institution or, to the Partnership’s knowledge, threat of any proceeding for that purpose or (ii) any notification with respect to the suspension of the qualification of the Primary Units for sale in any jurisdiction or any initiation or, to the Partnership’s knowledge, threat of any proceeding for such purpose.

  • The Partnership will pay all reasonable Registration Expenses of the Shelf Registration Statement, Underwritten Offering, Primary Offering or Secondary Offering, regardless of whether any sale of Registrable Securities or Primary Units is consummated.

  • Notwithstanding the foregoing sentence, WM Partner shall be entitled to include in the registration a minimum number of Parent Company Shares equal to 20% of the sum of the Available Total plus the number of Primary Units.


More Definitions of Primary Units

Primary Units means, at any time, Common Units to be issued by the Partnership, the issuance of which by the Partnership is permitted or has been authorized in accordance with the Partnership Agreement.

Public units additionally include, but are not limited to:

  • Class B Units means the Class B Units of the Company.

  • Class A Common Units means the Company's Class A Common Units.

  • Tendered Units shall have the meaning set forth in Section 8.6.A.

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."
