Primary Director definition

Primary Director and “Alternate Director” shall mean a Primary Director or Alternate Director appointed by a General Member pursuant to Section 6.02 of this Agreement.
Primary Director means a Primary Director appointed pursuant to Sections 6.4 of this Agreement.
Primary Director and “Alternate Director” shall mean a Primary Director or Alternate Director appointed by a Member pursuant to Section 6.02 of this Agreement.

Examples of Primary Director in a sentence

  • In the event that an officer loses their position as a Primary Director, that officer position shall become vacant.

  • When a Primary Director is present, an Alternate may attend a Board meeting as a member of the public, but may not participate in any Board discussion or vote on a matter.

  • In the absence of both the Chairperson and Vice-Chairperson, and notwithstanding the appointment of an Alternate Director for the Director Position serving as Vice-Chairperson, the Board shall elect a Chairperson Pro-Tem from the Primary Directors to preside at a meeting; however, the Alternate Director for the Vice-Chairperson may otherwise attend and participate in the meeting as a substitute for the absent Primary Director.

  • Notwithstanding the appointment of an Alternate Director for the Chairperson, the Vice-Chairperson shall perform the duties of the Chairperson in the absence or disability of the Chairperson; however, the Alternate Director for the Chairperson may otherwise attend and participate in the meeting as a substitute for the absent Primary Director.

  • The Alternate Director shall serve and assume the rights and duties of the Primary Director when the Primary Director is unable to attend a Board meeting.

  • An instrument appointing a proxy need not be in any particular form as long as it is in writing, legally valid and signed by or on behalf of the Primary Director.

  • An Alternate Director is entitled to such remuneration as the Board considers appropriate, either in addition to or in reduction of the remuneration payable to the Primary Director for whom the Alternate Director substitutes.

Related to Primary Director

  • Deputy Director means the Deputy Director of the Authority, as the case may be.

  • shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and

  • relevant director means any director or former director of the company or an associated company;

  • Company Director means a member of the Board.

  • Management Director means a Person selected in accordance with Article IV of this Agreement who shall have the powers and duties to manage the business and affairs of the Company and exercise its powers to the extent set forth in this Agreement, the Certificate and the Act. Each Management Director shall be a “manager” of the Company within the meaning of the Act.

  • New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.

  • Director means a member of the Board.

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • Independent Director means a director referred to in Section 149 (6) of the Companies Act, 2013.

  • Independent Fund Director means an independent director of an investment company advised by Invesco.

  • Alternate Director means a person elected or appointed to serve, as the occasion requires, as a member of the board of a company in substitution for a particular elected or appointed director of that company;

  • Investor Director means a member of the Board who was elected to the Board as an Investor Director Designee.

  • Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.

  • Non-Management Director means any Person selected in accordance with Article IV of this Agreement who is not a Management Director.

  • Employee Director means a member of the Board of Directors of the Company that is also an Employee of the Company.

  • Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.

  • Assistant Director means the Asstt. Director of the Authority, as the case may be.

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Relevant Nominating Body means, in respect of a benchmark or screen rate (as applicable):

  • Nonemployee Director means a Director who is not an Employee.

  • Inside Director means a Director who is an Employee.
