Preparing Party definition

Preparing Party has the meaning set forth in Section 2.04(a)(ii).

Preparing Party shall have the meaning set forth in Section 3.3.

Examples of Preparing Party in a sentence

• If the Reviewing Party objects to any item on any such Tax Returns, it shall, within ten (10) days after delivery of such Tax Returns, notify the Preparing Party in writing that it so objects, specifying with particularity any such item and stating the specific factual or legal basis for any such objection.

• If the Independent Accountant is unable to resolve any disputed items before the due date for such Tax Return, the Tax Return shall be filed as prepared by the Preparing Party and then amended to reflect the Independent Accountant’s resolution.

• The party responsible for preparing Tax Returns as provided above is referred to as the “Preparing Party” and the other party is referred to herein as the “Reviewing Party.” All Seller Returns and Purchaser Returns shall be submitted by the Preparing Party to the Reviewing Party (together with schedules, statements and supporting documentation) at least thirty (30) days prior to the due date (including extensions) of such Tax Returns.

• Unless otherwise provided in this Agreement, the Preparing Party is responsible for the costs and expenses associated with such preparation.

• To the extent not previously provided, each Party other than the Preparing Party shall (at its own cost and expense), to the extent that a Pre-Distribution Income Tax Return includes items of that Party or its Affiliates, prepare and provide or cause to be prepared and provided to the Preparing Party (and make available or cause to be made available to the other Party) a Tax Package relating to that Pre-Distribution Income Tax Return.

Preparing Party means, with respect to a Tax Return, the Party that is required to prepare and file any such Tax Return pursuant to Section 3.1 or 3.2, as applicable.
