If this Lease is terminated pursuant to this Section I, all Prepaid Rent and the Security Deposit shall be returned by Landlord to School, and neither party shall have any further obligations under the terms of this Lease, except as to those matters which specifically survive termination.
Notwithstanding anything to the contrary in this Agreement, to the extent that either Party fails to perform its obligations as provided in this Agreement, the performing Party shall have the right to cease further activity on development of the Project or on the financing to pay the Prepaid Rent (as defined in the S-Line Incremental Transfer Capability Lease), as applicable, until such time as the non-performing Party resumes performance of its obligations.
Citizens shall not pay for any costs of the Project prior to the effectiveness of the S-Line Incremental Transfer Capability Lease, and upon such effectiveness Citizens’ responsibility for such costs shall be limited to payment of the Prepaid Rent (as defined in the S-Line Incremental Transfer Capability Lease) pursuant to the S-Line Incremental Transfer Capability Lease.
Upon receiving Prepaid Rent, the Partnership shall forthwith record in its financial and accounting books the amount of Prepaid Rent received and the Operating Year to which it shall apply.
Landlord shall not be required to pay Tenant interest on the Prepaid Rent.
