Premium Shares definition

Premium Shares means, collectively, the Commitment Premium Shares and the Ticking Premium Shares.
Premium Shares. Units representing shares ("Premium Shares") will be credited to an account for the Participant as a reward for certain acquisitions of shares, as follows:
Premium Shares means, collectively, any shares of Reorganized PEC Common Stock issued on account of the Commitment Premiums and the Ticking Premiums.

  • Such Investor understands that the Investor Shares (including any Commitment Premium Shares) have not been registered under the Securities Act by reason of a specific exemption from the registration provisions of the Securities Act, the availability of which depends on, among other things, the bona fide nature of the investment intent and the accuracy of such Investor’s representations as expressed herein or otherwise made pursuant hereto.

  • The School Board shall be responsible for the costs of any such supplemental benefits, and for any reasonable administrative or other costs incurred by the Trustees to provide these supplemental benefits, less applicable Retired Employee Premium Shares.

  • The Trustees shall have no duty or power to confirm or verify any Retired Employee Premium Shares.

  • The amount of Retired Employee Premium Shares paid by PVP Retirees in respect of the Retiree Plan is referred to herein as the "PVP Retiree Premium Share".

  • In each case, the Retired Employee Premium Shares for PVP Retirees shall be determined on the same basis as Retired Employee Premium Shares had been determined under Prior Arrangements.

  • If the purchase of the Rights Offering Common Stock and the Backstop Shares (and the issuance of the Put Option Premium Shares) by any of the Investors pursuant to this Agreement and the Rights Offering is subject to the terms of the Antitrust laws, the applicable waiting period shall have expired or been terminated thereunder with respect to such purchase.

  • Such Backstop Party has such knowledge and experience in financial and business matters such that it is capable of evaluating the merits and risks of its investment in the Unsubscribed Shares, Put Option Premium Shares and Rights Offering Shares.


More Definitions of Premium Shares

Premium Shares means Shares credited to a Participant's Deferral Account which are initially subject to forfeiture as provided in Section 6.2 or Section 6.3.

Related to Premium Shares

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Payment Shares has the meaning set forth in Section 2.02;

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.

  • Earn-Out Shares has the meaning provided in Section 2.2(b).

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Available Shares means the sum of (i) one hundred fifty thousand (150,000) shares of Common Stock, and (ii) an annual increase on April 1st of each calendar year, beginning in 2022 and ending in 2031 (each a “Date of Determination”), in each case subject to the approval and determination of the Administrator on or prior to the applicable Date of Determination, equal to the lesser of (A) four percent (4%) of the total shares of Common Stock of the Company outstanding on the last day of the immediately preceding fiscal year and (B) such smaller number of shares as determined by the Administrator (the “Share Limit”). Notwithstanding the foregoing, shares added to the Available Shares by the Share Limit are available for issuance as Incentive Stock Options only to the extent that making such shares available for issuance as Incentive Stock Options would not cause any Incentive Stock Option to cease to qualify as such. In the event that the Administrator shall not take action to affirmatively approve an increase in the Share Limit on or prior to the applicable Date of Determination, the Share Limit and Available Shares, shall remain at such level as they were prior to such applicable Date of Determination. For clarity, the Available Shares is a limitation on the number of shares of Common Stock that may be issued pursuant to the Plan.

  • Forward Purchase Shares shall have the meaning given in the Recitals hereto.

  • Earnout Shares has the meaning set forth in Section 3.6(a).

  • Acquired Shares has the meaning set forth in the Recitals.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Accelerated Purchase Share Volume Maximum means, with respect to an Accelerated Purchase made pursuant to Section 2(b) hereof, a number of shares of Common Stock equal to (i) the number of Purchase Shares specified by the Company in the applicable Accelerated Purchase Notice as the Accelerated Purchase Share Amount to be purchased by the Investor in such Accelerated Purchase, divided by (ii) the Accelerated Purchase Share Percentage (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Qualifying Shares means shares of Common Stock which either (i) have been owned by the Grantee for more than six (6) months and have been “paid for” within the meaning of Rule 144 promulgated under the Securities Act, or (ii) were obtained by the Grantee in the public market.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Adjustment Shares shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Maximum Share Amount shall have the meaning set forth in Section 2.01(c).

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.

  • Returning Shares means shares subject to outstanding stock awards granted under the Prior Plan and that following the Effective Date: (A) are not issued because such stock award or any portion thereof expires or otherwise terminates without all of the shares covered by such stock award having been issued; (B) are not issued because such stock award or any portion thereof is settled in cash; (C) are forfeited back to or repurchased by the Company because of the failure to meet a contingency or condition required for the vesting of such shares; (D) are withheld or reacquired to satisfy the exercise, strike or purchase price; or (E) are withheld or reacquired to satisfy a tax withholding obligation.
