In each case, the election to receive Pre-Funded Warrants is solely at the option of the Purchaser.
The form of Notice of Exercise included in the Pre-Funded Warrants and the Warrants set forth the totality of the procedures required of the Purchasers in order to exercise the Pre-Funded Warrants and the Warrants.
The Pre-Funded Warrant Shares and the Warrant Shares are duly authorized and when issued in accordance with the terms of the Pre-Funded Warrants and the Warrants, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company.
