Pooled Shares means the Shares subject to the Pooling Agreement dated June 1, 2009 among the Consultant, the Corporation and certain other shareholders of the Corporation;

  • Each Pooling Shareholder hereby acknowledges that his/her/its Pooled Shares are being held and made subject to the terms hereof voluntarily and not as a consequence of any requirement imposed by any regulatory authority.

  • Subject to any regulatory requirements, each Pooling Shareholder shall be permitted to sell, assign or transfer his/her/its Pooled Shares which are released in the manner set forth in the release schedule contained in Article 1.5.

  • The Investment Manager is also entitled to receive a Performance Fee out of the assets attributable to the Class I Pooled Shares and the Class R Pooled Shares (together the “Pooled Class Shares”).

  • The Pooling Agent will not be responsible or liable in any manner whatever for the sufficiency, correctness, genuineness or validity of any Pooled Shares deposited with it.

  • The Investment Manager is entitled to receive a Performance Fee out of the assets attributable to the Class B2 Shares, Class I Shares, Class P Shares, Class A Shares, Class E Shares, Class B2 UN Shares and the Class AF Pooled Shares (the ''Pooled Share Classes'').

  • The pooling arrangement will be implemented by adding restrictive legends on the share certificates representing the Pooled Shares, which will be released from pooling as to 10% on the Listing Date and a further 15% percent release every three months thereafter.

Related to Pooled Shares

  • Controlled Shares in reference to any person means all shares of the Company directly, indirectly or constructively owned by such person as determined pursuant to Section 958 of the Code.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Escrowed Shares has the meaning set forth in Section 2.4.

  • Company Shares has the meaning set forth in the Recitals.

  • Owned Shares means all shares of Company Common Stock and any other equity securities of the Company which are beneficially owned by Stockholder as of the date hereof, as set forth on Schedule I.

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Stockholder Shares means the shares of common stock of the Company issued to Stockholder in accordance with the terms and conditions of the Reorganization Agreement, including such shares of common stock of the Company transferred from Stockholder to The Cendant Charitable Foundation, and any securities of the Company issued as a dividend on or other distribution with respect to, or in exchange for or replacement of, such common stock.

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.
