Policy Provider Obligations definition

Policy Provider Obligations means all reimbursements and other amounts, including without limitation, fees, expenses, interest and indemnities, due to the Policy Provider hereunder, or under the Policy Provider Documents, all such amounts to be paid only as expressly provided hereunder and without duplication whether by reason of any rights of subrogation or otherwise.
Policy Provider Obligations has the meaning specified in the Intercreditor Agreement.
Policy Provider Obligations means all reimbursement and other amounts, including, without limitation, fees and indemnities (to the extent not included in Policy Expenses), due to the Policy Provider under the Policy Provider Agreement but shall not include any interest on Policy Drawings other than Policy Provider Interest Obligations.

  • The subordination provisions contained in Section 3.08, Section 3.09 and Article X hereof may not be amended or modified without the consent of the Policy Provider (so long as any subclass of Covered Class A Securities remain outstanding or any Policy Provider Obligations remain due and owing), each provider of an Eligible Credit Facility, each Hedge Provider, each Holder of the subclass of Securities affected thereby and each Holder of any subclass of Securities ranking senior thereto.

More Definitions of Policy Provider Obligations

Policy Provider Obligations means all reimbursement and other amounts, including, without limitation, fees and indemnities, due to the Policy Provider under Section 3.7(i) hereof, the Policy Fee Letter, Section 6(b) of the Owned Aircraft Participation Agreements, Section 6(c) of the Leased Aircraft Participation Agreements and Sections 7(b) and 7(c) of the Note Purchase Agreement but shall not include (i) any interest on Policy Drawings or interest on any other payments made by the Policy Provider (except (a) if the Class G Liquidity Provider has failed to honor any Interest Drawing in accordance with Section 2.02(e) of the Class G Liquidity Facility, interest on any Policy Drawing made to cover the shortfall attributable to such failure in an amount equal to the amount of interest that would have accrued on such Interest Drawing if such Interest Drawing had been made in accordance with Section 2.02(e) of the Class G Liquidity Facility, at the interest rate applicable to such Interest Drawing until such Policy Drawing has been repaid in full, up to a maximum of three such Policy Drawings and (b) if the Policy Provider has, pursuant to the proviso to Section 2.6(c), paid to each Liquidity Provider all outstanding Drawings and interest thereon owing to such Liquidity Provider under the applicable Liquidity Facility, interest accrued at the rate of the Base Rate plus 1% per annum on the unreimbursed amount of such payment from and including the date of such payment to but excluding the date such payment shall be reimbursed in full), and (ii) any amounts that the Policy Provider is entitled to receive by virtue of the subrogation rights of the Policy Provider under the Escrow and Paying Agent Agreement for the Class G Trust, including, without limitation, fees and expenses incurred in connection with the enforcement of such rights.
Policy Provider Obligations means all reimbursement and other amounts, including fees and indemnities, due to the Policy Provider under the Policy Provider Agreement, but shall not include (i) any amounts due under the Policy Fee Letter, (ii) any interest on Policy Drawings except, if the Class G Liquidity Provider has failed to honor its obligation to make a payment on any Interest Drawing in respect of the Class G Certificates, interest on the portion of any Policy Drawing made to cover the shortfall attributable to such failure by the Liquidity Provider in an amount equal to the amount of interest that would have accrued on such Interest Drawing if such Interest Drawing had been made at the interest rate applicable to such Interest Drawing until such Policy Drawing has been repaid in full, up to a maximum of three such Policy Drawings and (iii) any amounts that the Policy Provider is entitled to receive by virtue of the subrogation rights of the Policy Provider hereunder or under the Escrow Agreement for the Class G Trust, including without limitation, fees and expenses incurred in connection with the enforcement of such rights. For the avoidance of doubt, and subject to the effect of payment priorities with respect to Excess Reimbursement Obligations, Policy Provider Obligations include reimbursement of and interest on the Liquidity Obligations in respect of the Liquidity Facilities paid by the Policy Provider to the Liquidity Provider.
