Platform Availability definition

Platform Availability means the Platform is available for use by Customer.
Platform Availability means the time that the platform is operational and available for use by CenturyLink Customers in a calendar month.
Platform Availability means that the Allthings Platform and Applications made available on it are available to the Customer and/or the User at an average of 99.5% of a year in the Operating Phase. The Allthings Platform is in operation 365 days / 24 hours. This does not include (a) scheduled maintenance windows for the purpose of maintaining and maintaining hardware/software and for data backup, provided that these are notified to Customer at least 48 hours in advance in Text Form; (b) unavailabilities not reported by Customer in accordance with the Operational Support Terms and Conditions; (c) unavailabilities caused by systems or networks provided by Customer(or its service providers) or by other systems and networks outside the Allthings Platform (e. g. by internet service providers); or (d) unavailability due to other circumstances that are beyond Allthings' control or which are not directly accessible by/to Allthings.

More Definitions of Platform Availability

Platform Availability means the percentage of hours in a calendar month that the Service is available, excluding scheduled maintenance and/or critical maintenance (“Maintenance”). PolicyMap will use reasonable efforts to make the Service available 24 hours per day, 7 days per week, with the exception of Maintenance periods. PolicyMap will provide Subscriber notice of any Maintenance and will use reasonable efforts to limit extended periods of Maintenance to Saturdays and Sundays, between 11 pm and 2 am US Eastern time. Any Service downtime that is explicitly the responsibility of PolicyMap’s hosting provider (initially, Amazon), and is acknowledged by the hosting provider, counts as Maintenance time and not against the reimbursement schedule below.
Platform Availability means the proportion, expressed as a percentage, of the Notionally Available Time during which the Platform is Available.
Platform Availability is the average percentage of time, calculated in minutes, during which the Platform is available to you during any given calendar month, excluding Planned Downtimes and Unplanned Downtimes.

  • System Availability means, with respect to any particular calendar month, the ratio obtained by subtracting Unscheduled Downtime during such month from the Total Monthly Time, and thereafter dividing the difference so obtained by the Total Monthly Time. Represented algebraically, System Availability for any particular calendar month is determined as follows:

  • Network Availability means the capability of the equipment to resume functions after a remotely initiated trigger has been detected by a network port;

  • Service Availability The total number of minutes in a calendar quarter that the Tyler Software is capable of receiving, processing, and responding to requests, excluding maintenance windows, Client Error Incidents and Force Majeure.

  • Borrowing Base Availability means, at the time of any determination, an amount equal to the lesser of the Borrowing Base at such time and the aggregate amount of the Commitments at such time.

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Revolving Loan Availability means at any time the lesser of (a) the Revolving Loan Commitment or (b) the Borrowing Base Amount.

  • Availability Block means $15,000,000.

  • Availability Amount is (a) the lesser of (i) the Revolving Line or (ii) the amount available under the Borrowing Base minus (b) the outstanding principal balance of any Advances.

  • Canadian Availability means, at any time, an amount equal to (a) the lesser of (i) the aggregate Canadian Revolving Commitments at such time and (ii) the Canadian Borrowing Base at such time, minus (b) Commitment Reserves established with respect to the Canadian Loan Parties and/or the Canadian Collateral at such time minus (c) the Aggregate Canadian Credit Exposure at such time.

  • Average Daily Availability means, as of any date of determination, the average daily Availability for the immediately preceding Fiscal Quarter.

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.

  • Availability Credit means the remedy IBM will provide for a validated Claim. The Availability Credit will be applied in the form of a credit or discount against a future invoice of subscription charges for the Service.

Without limiting the generality of the foregoing, Availability Reserves may include, in Agent’s Permitted Discretion, (but are not limited to) reserves based on: (i) Rent Reserves; (ii) customs duties, and other costs to release Inventory which is being imported into the United States of America; (iii) outstanding Taxes and other governmental charges, including, without limitation, ad valorem, real estate, personal property, sales, claims of the PBGC and other Taxes which may have priority over the interests of Agent in the Collateral; (iv) salaries, wages and benefits due to employees of any Borrower, (v) Customer Credit Liabilities, (vi) Customer Deposits, (vii) reserves for reasonably anticipated changes in the Appraised Value of Eligible Inventory between appraisals, (viii) warehousemen’s or bailee’s charges and other Permitted Liens which may have priority over the interests of Agent in the Collateral, (ix) amounts due to vendors on account of consigned goods, (x) Cash Management Reserves, (xi) Bank Products Reserves, and (xi) royalties payable in respect of licensed merchandise.

  • Revolving Credit Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Credit Commitment Termination Date and the date of termination of the Revolving Credit Commitments.

  • State Level Monitoring Cell means the body constituted by the State Government for the control and elimination of ragging in institutions within the jurisdiction of the State, established under a State Law or on the advice of the Central Government, as the case may be.
