Notwithstanding anything to the contrary herein, if the Plan Commencement Date does not occur on or before January 30, 2010, either party shall have the right to terminate this Agreement by giving written notice to the other on or before March 15, 2010; provided, the party seeking to terminate this Agreement is not in breach of its obligations hereunder.
Commencing on the Plan Commencement Date Bank shall make available through the TSYS’ services the loyalty program services supported by TSYS for the Purchased Accounts prior to the Plan Commencement Date.
SecureWorks shall cause the SecureWorks Welfare Plans to recognize all amounts applied to deductibles, co-payments and out-of-pocket maximums with respect to Welfare Plan Covered Participants under the Dell Welfare Plans during the plan year in which the Plan Commencement Date of the applicable SecureWorks Welfare Plan occurs.
Stage will be responsible for, and agrees to pay, all sales, use, excise, and value-added taxes, or taxes of a similar nature (excluding personal property taxes and taxes based on Bank's income which shall be borne by Bank), imposed by the United States, any state or local government, or other taxing authority after the Plan Commencement Date, on all services provided by Bank under this Agreement.
From and after the applicable 401(k) Plan Commencement Date, the applicable member of the SpinCo Group shall be responsible for the administration of the SpinCo 401(k) Plan, and no member of the Parent Group shall have any Liability or obligation (including any administration obligation) with respect to the SpinCo 401(k) Plan.
Notwithstanding the prior sentence, this Agreement shall terminate upon the latest of (i) the Termination Date, (ii) the achievement of the Plan Commencement Date for all SecureWorks Plans pursuant to this Agreement, and (iii) the termination of the Dell Plan Participation Period.
An eligible employee who begins employment after the Plan Commencement Date but before the end of the second quarter of the fiscal year (by September 30) will be granted an award at 90% of the target amount for the employee’s job band.
The “Award Date” means the Plan Commencement Date except for those Participants who first commence participation after such date as provided paragraph 5(a) or (b) below.
Awards for employees promoted into an eligible job band after the Plan Commencement Date will be determined as follows.
Any and all costs and expenses incurred by the Parent Group before the applicable Benefits Commencement Date (or, in the case of the SpinCo 401(k) Plan, the 401(k) Plan Commencement Date) to design or establish any SpinCo Plan will be retained by Parent and will constitute Parent Retained Employee Liabilities.
