PILOT Payments shall be allocated among the Taxing Authorities in proportion to the amount of real property tax and other taxes which would have been received by each Taxing Authority if the Facility was owned by the Company exclusive of the Agency’s leasehold interest.
The amounts of such PILOT Payments are set forth in Exhibit C attached hereto.
In addition to the PILOT Payments to be made by the Company to the Agency pursuant to this Agreement, the Company shall pay to the Agency all special assessments, special ad valorem levies, and any other charges for which the Agency shall be liable and for which it is not wholly exempt from taxation.
The foregoing rights shall not include the ability to lower or modify the “Base Value”, as defined herein, nor to lower or in any way alter the Total PILOT Payments payable hereunder.
In addition, the Company shall be responsible to pay the Agency any and all amounts representing the difference between the PILOT Payments that would have been owed under the UTEP PILOT and the PILOT Payments paid under the Enhanced PILOT, with interest from the date such PILOT Payment was due at a rate equal to two percent (2%) plus the Prime Rate, upon demand of the Agency forthwith.
