Physical Redemption Assets definition

Physical Redemption Assets means, in respect of any Preference Shares the subject of a single Delivery Instruction Notice (or, if a Delivery Instruction Notice specifies two or more Calculation Sets, a Calculation Set) in respect of the Scheduled Redemption Date and/or each Extended Redemption Date (if any):

  • Any instructions delivered by it in respect of its receipt of the Physical Redemption Assets are made upon the terms and subject to the conditions of the Amended and Restated Statement of Rights and by delivery of an Accountholder Physical Delivery Instruction Notice.

  • We are then left with a puzzling array of choices which seem to combine into a line of argument which champions social responsibility but recognises that this has to be developed by both hard tactics, an appreciation of monetary cost and reasoned debate.

  • It acknowledges that none of the Company, the Arranger, Novo Banco, the Registered Holder, the Tabulation Agent, the Calculation Agent, the Custodian, the Liquidation Agent, the Principal Paying Agent, the Registrar or any of their respective affiliates, directors or employees has provided any advice or made any recommendation (whether written or oral) as to its receipt of the Physical Redemption Assets and none of them is a fiduciary or financial or investment advisor to it.

  • It has full power and authority to submit a valid Accountholder Physical Delivery Instruction Notice and to take delivery of the Physical Redemption Assets.

  • It is not unlawful for it to deliver the Accountholder Physical Delivery Instruction Notice or for the Company to deliver the Physical Redemption Assets in accordance with its instructions.

  • To date, GFA’s staff has provided all requisite quarterly financial reports.Finally, we feel compelled to observe our concern, in general, about the following in addition to the above ECFA compliance-related issues:• Certain information provided to ECFA by GFA that was crucial to our review was, at least initially, inaccurate.

  • Any Accountholder Physical Delivery Instruction Notice must be submitted in the manner set out therein.Preference Shareholders should carefully read the form of the Amended and Restated Statement of Rights, annexed as Annex 1 to this Solicitation Memorandum, so as to understand how the Physical Redemption Assets are calculated.

Related to Physical Redemption Assets

  • Final Redemption Value means the Underlying Reference Value.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest on the Debenture and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Special Mandatory Redemption has the meaning set forth in Section 3.07.

  • Mandatory Redemption Amount means an amount per ETP Security calculated by the Determination Agent equal to the greater of:

  • Special Mandatory Redemption Price means a redemption price equal to 100% of the outstanding aggregate principal amount of the Notes, plus accrued and unpaid interest thereon from the Issue Date to, but excluding, the Special Mandatory Redemption Date as calculated by the Company.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Initial Redemption Date means, with respect to any Note or portion thereof to be redeemed pursuant to Section 3.1(b), the date on or after which such Note or portion thereof may be redeemed as determined by or pursuant to the Indenture or a Note Certificate of Supplemental Indenture.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Special Mandatory Redemption Date has the meaning set forth in Section 3.02(b) hereto.

  • Mandatory Redemption means a redemption of ETP Securities in accordance with Condition 8.7.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Mandatory Redemption Date means, in respect of a Mandatory Redemption Event, the date designated as such in accordance with Condition 8.7.

  • Special Mandatory Redemption Event has the meaning specified in Section 3.02(a) hereto.

  • Mandatory Redemption Price means $25,000 per share of AMPS plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Redemption Account means, in respect of ETP Securities, a bank account to receive payments in the Relevant Currency of the Optional Redemption Amount in respect of the redemption of such ETP Securities, which account shall be:
