Northline, its successors and assigns, hereby covenants and agrees that it shall indemnify and hold NYSEG, its successors and assigns, harmless from and against any and all loss, liability, charge, cost or expense arising out of the use of the Easement Area by Northline or its Permittees or breach of this Agreement by Northline or its successors and assigns, except for matters arising from breach of this Agreement by NYSEG, or the negligence or willful misconduct of NYSEG.
