Permitted Shareholder means (a) Alden Global Capital; Attestor Capital LLP; Xxxxxxxx Capital Management, LP; Boussard & Gavaudan Asset Management, LP; Contrarian Capital Management, L.L.C.; Third Point LLC; with respect to any of the foregoing, its Affiliates and funds, entities, accounts or partnerships managed, advised or sub-advised by it or its Affiliates; and any group (within the meaning of Rules 13d-3 and 13d-5 under the Exchange Act) of which any of the foregoing are members; provided that, without giving effect to the existence of such group or any other group, the foregoing collectively beneficially own (as such term is defined in Rule 13d-3 and Rule 13d-5 under the Exchange Act), directly or indirectly through one or more intermediaries, more than 50% of the voting power of the outstanding Voting Stock of the Company and (b) any person who is acting as an underwriter in connection with a public or private offering of Capital Stock of the Company, acting in such capacity.
