Permits and Other Operating Rights. The Company and each Subsidiary has all such valid and sufficient certificates of convenience and necessity, franchises, licenses, permits, operating rights and other authorizations from federal, state, foreign, regional, municipal and other local regulatory bodies or administrative agencies or other governmental bodies having jurisdiction over the Company or any Subsidiary or any of its properties, as are necessary for the ownership, operation and maintenance of its businesses and properties, as presently conducted and as proposed to be conducted while the Notes are outstanding, subject to exceptions and deficiencies which, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect, and such certificates of convenience and necessity, franchises, licenses, permits, operating rights and other authorizations from federal, state, foreign, regional, municipal and other local regulatory bodies or administrative agencies or other governmental bodies having jurisdiction over the Company, any Subsidiary or any of its properties are free from restrictions or conditions which, individually or in the aggregate, could reasonably be expected to have a Material Adverse Effect, and neither the Company nor any Subsidiary is in violation of any thereof in any material respect.

Permits and Other Operating Rights. Except as set forth in the Disclosure Schedule, Company does not require the Consent of any Authority to permit it to operate in the manner in which it presently is being operated, and possesses all permits and other authorizations from all Authorities presently required necessary to permit it to operate it businesses in the manner in which they presently are conducted.

Permits and Other Operating Rights. Except as set forth in WP Disclosure Schedule Section 4.15 and except with respect to Environmental Permits (which are covered separately in Section 4.17), all permits, licenses, orders, approvals and authorizations required by any applicable law, statute, regulation or Governmental Order, or by the property and contract rights of third Persons, reasonably necessary to permit the operation of the WP Business in the manner currently conducted by the WP Entities and to permit the current occupancy of the WP Real Property by the WP Entities have been obtained or are reasonably expected to be obtained by the WP Entities, except where the failure to possess such permit, license, order, approval, authorization or rights would not result in a Material Adverse Effect on the WP Entities or the WP Business. Each of such permits, licenses and other authorizations is scheduled on Schedule 3.20 of the Disclosure Schedule, and no action is pending to revoke, terminate, modify or restrict any thereof.
