Lazard Ltd shall use its reasonable best efforts, subject to the restrictions in Section 4.1(d), to file a registration statement under the Securities Act with respect to each Annual Registration as promptly as reasonably practicable following the applicable Periodic Filing Date.

The Periodic Filing Lapse Period for any Purchaser shall begin on the Closing Date and end on the earliest to occur of (i) the date on which such Purchaser no longer holds any Registrable Securities, or (ii) the date on which counsel to the Company delivers an opinion to the effect that the removal of restrictive legends to the Registrable Securities and transfer of the Registrable Securities may be effected under the Securities Act (such time period, the “Periodic Filing Lapse Period”).
