Performance Value definition

Performance Value means, in respect of an FI Valuation Date:
Performance Value has the meaning given in Section 9.8(d).
Performance Value means the following at the aggregate index level: the percentage total return or the total return index value of the designated Xxxxxxx Index.

Examples of Performance Value in a sentence

  • Except as provided in the Plan Document or the Deferred Compensation Plan, a Participant will be vested in his Deferred Compensation Plan account attributable to Relative Performance Value Award deferrals (and deemed earnings and losses thereon) only upon Participant’s Date of Termination resulting from Termination of Service due to Retirement, layoff, transfer to a Parent Company, Disability or death.

  • Outstanding Relative Performance Value Awards will not be subject to such proration in the event the Participant is demoted to a pay grade lower than 93; provided such demotion is not below 90.

  • A Participant whose individual performance is evaluated as "Below Expectations" or "Unsatisfactory" will not be eligible for a payout under the conditions of the Plan (notwithstanding the Financial Performance Value determined in Section 6), and the Ending Value of the Participant's Contingent Award shall be zero.

  • Notwithstanding the foregoing, any Eligible Employee who is a Participant in the Plan as of January 1, 2006 will be vested in his Deferred Compensation Plan account attributable to Relative Performance Value Award deferrals (and deemed earnings and losses thereon) upon his Date of Termination without regard to the cause of the Termination of Service.

  • If a Participant terminates employment with the Participating Employer for any reason other than Retirement, layoff, transfer to a Parent Company, Disability or death, then the Participant shall forfeit the entire portion of the Participant’s Deferred Compensation Plan account attributable to Relative Performance Value Award deferrals (and deemed earnings and losses thereon).

  • Any Relative Performance Value Award may be further adjusted as a result of the application of the provisions in Section 4(f) or by the Committee in its sole and absolute discretion either in individual cases or in the aggregate.

  • Notwithstanding anything contained in this Plan document to the contrary, in the event that any Participant engages in any activity which the Committee judges to be detrimental to any Participating Employer, or otherwise fails to perform his obligations as a regular, full-time Employee, the Committee may cancel or reduce the Relative Performance Value Award or Strategic Performance Value Award in whole or in part at any time prior to payment of the Award.

  • Upon final determination by the Committee of a Participant’s right to receive a Relative Performance Value Award, the amount of said RPVA shall be automatically deferred to the Participant’s Deferred Compensation Plan account attributable to Relative Performance Value Awards.

  • The Committee, upon its own action, may grant, but shall not be required to grant, Relative Performance Value Awards to any Eligible Employee.

  • At the end of applicable Performance Cycle, the amount of said prorated Relative Performance Value Award shall be deferred to Participant’s Deferred Compensation Plan account as described in Section 5.


More Definitions of Performance Value

Performance Value means the Total Transaction Value minus the then-current value of the Initial Consideration (determined by multiplying the number of shares received as the Initial Consideration (as adjusted for any stock split, stock dividend, combination or the like) by the average closing price of Buyer's common stock for the ten (10) business days prior to the Second Closing).
Performance Value means, in respect of each Share, the value determined by the Determination Agent as being the product of (A) the Performance Rate and (B) the value which is the Final Reference Value of such Share divided by the Applicable Initial Reference Value of such Share, less the Strike; “Applicable Initial Reference Value” means a value equal to the product of the Initial Reference Value and the Specified Percentage; “Initial Reference Value” means the value of the relevant Share as of the Strike Date determined in accordance with the value determination terms below; “Final Reference Value” means the value of the relevant Share as of the Determination Date determined in accordance with the value determination terms below; “Strike Date” means 24 November 2023; “Determination Date” means 23 November 2029; “Performance Rate” means 100.00 per cent.; “Specified Percentage” means

Related to Performance Value

  • Performance Cash means any cash incentives granted pursuant to Article 9 payable to the Participant upon the achievement of such performance goals as the Committee shall establish.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Performance Ratio (PR) means the ratio of plant output versus installed plant capacity at any instance with respect to the radiation measured. PR= (Measured output in kW / Installed Plant capacity in kW * (1000 W/m2/Measured radiation intensity in W/m2).

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Performance Stock means a Target Number of Shares granted pursuant to Section 10(a) of the Plan.

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Performance Date means December 31, 2022. If the Locality, in consultation with the Authority and VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, the Locality may, prior to the then-current Performance Date, request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

  • Performance Share means an Award denominated in Shares which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine pursuant to Section 10.

  • Performance Measure means one or more of the following selected by the Committee to measure Company, Affiliate, and/or business unit performance for a Performance Period, whether in absolute or relative terms (including, without limitation, terms relative to a peer group or index): basic, diluted, or adjusted earnings per share; sales or revenue; earnings before interest, taxes, and other adjustments (in total or on a per share basis); basic or adjusted net income; returns on equity, assets, capital, revenue or similar measure; economic value added; working capital; total shareholder return; and product development, product market share, research, licensing, litigation, human resources, information services, mergers, acquisitions, sales of assets of Affiliates or business units. Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Performance Award Formula means, for any Performance Award, a formula or table established by the Committee pursuant to Section 10.3 which provides the basis for computing the value of a Performance Award at one or more levels of attainment of the applicable Performance Goal(s) measured as of the end of the applicable Performance Period.

  • Performance Unit means an Award which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine and which may be settled for cash, Shares or other securities or a combination of the foregoing pursuant to Section 10.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Factor means any matter that could or will significantly affect a party’s ability to fulfill its obligations under this Agreement;

  • Performance Period means the one or more periods of time, which may be of varying and overlapping durations, as the Committee may select, over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance-Based Award.

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Performance Objective means a standard established by the Committee to determine in whole or in part whether a Performance Award shall be earned.
