Per Share Stock Consideration definition

Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).

Per Share Stock Consideration means a number of shares of common stock, par value $2.00 per share, of Parent (“Parent Common Stock”) equal to the Exchange Ratio.

• If CDC provides written notice to Glacier in accordance with Section 7.2.1, then within two Business Days following Glacier’s receipt of such notice, Glacier may elect by written notice to CDC to adjust the Per Share Stock Consideration through the issuance of additional Glacier Shares in an amount such that the Per Share Stock Consideration equals the number of shares of Glacier Common Stock that a holder of CDC Common Stock would have received had the Glacier Average Closing Price been $34.88.

• If Glacier makes such election to increase the number of Glacier Shares, no termination will occur pursuant to Section 7.2.1, and this Agreement will remain in effect according to its terms (except as the Per Share Stock Consideration has been adjusted).

• If Glacier provides written notice to CDC in accordance with Section 7.3.1, then within two Business Days following CDC’s receipt of such notice, CDC may elect by written notice to Glacier to accept an adjustment to the Per Share Stock Consideration through the issuance of fewer Glacier Shares such that the Per Share Stock Consideration equals the number of shares of Glacier Common Stock that a holder of CDC Common Stock would have received had the Glacier Average Closing Price been $27.13.

• Shares for which a properly completed election form has not been submitted by the election deadline will be considered non-electing shares and converted into the right to receive the Per Share Cash Consideration or the Per Share Stock Consideration according to the proration procedures, as described in the Proxy.

More Definitions of Per Share Stock Consideration

Per Share Stock Consideration means the number of fully paid and nonassessable shares of Parent Common Stock and the requisite number of Parent Rights issued and attached to such shares under the Parent Rights Agreement equal to the result obtained by dividing the Per Share Consideration by the Parent Share Price.
