Per Seat. Licensing Fees. The Services may require us to purchase certain “per seat” licenses from Third Party Providers (such as, for example, Microsoft which sells per seat licenses under its “New Commerce Experience” licensing model). Unless otherwise expressly stated in a Quote, per seat licenses cannot be canceled once they are purchased and cannot be transferred to any other customer. If we purchase per seat licenses for you, then those licenses will require a definite term—such as a one (1) or three (3) year term—which may be paid annually or monthly but, in all cases, must be paid in full by you; please see your Quote for details. For that reason, you understand and agree that regardless of the reason for termination of the Services, you are required to pay for all applicable per seat licenses in full for the entire term of those licenses. Provided that you have paid for those licenses in full, you will be permitted to use the licenses until they expire, even if you move to a different managed service provider.

The Services may require us to purchase certain “per seat” and/or “per device” licenses from Third Party Providers (such as, for example, Microsoft which sells per seat licenses under its “New Commerce Experience” licensing model, or Datto which may require one or more licenses per appliance device.) Unless otherwise expressly stated in a Quote, per seat and/or per device licenses cannot be canceled once they are purchased and cannot be transferred to any other customer. If we purchase per seat and/or per device licenses for you and those licenses require a definite term—such as a one (1) or three (3) year term (which may be paid annually or monthly)—then you understand and agree that in all cases, the fees for the entire term of those licenses must be paid in full by you regardless of the reason for termination of the Services. Provided that you have paid for those licenses in full, you will be permitted to use the licenses until they expire, even if you move to a different managed service provider.
Per Seat. License shall be computed monthly based upon the number of End Users who use the Modified Licensed Technology to access the Internet during that month ("Seats"). The "Per Seat" License Fee shall be as follows:

  • If Licensee elects to change from Per Server Mode to Per Seat Mode, Licensee may transfer any Client Access Licenses it acquired for use in Per Server Mode to an equal number of workstations of computers in Per Seat Mode.

  • If Licensee chooses Per Seat Mode, Licensee's choice is permanent If Licensee chooses Per Server Mode, Licensee has the right to change to Per Seat Mode, as long as Licensee acquires a Client Access License for each unique Device accessing or utilizing the services of the Server Software, and then this choice is permanent.

  • This is known as using the Server Software in "Per Seat Mode." However, you may elect to use the Server Software for Microsoft SQL Server, Windows NT Server (except as specified below), Site Server, Site Server Commerce Edition, or SNA Server (but not Microsoft Exchange Server, Windows NT Server, Terminal Server Edition, Systems Management Server, or BackOffice Server) in "Per Server Mode" as defined below.

  • In full and satisfactory consideration for the licenses and rights granted hereunder, Dialogic shall compensate LRS by paying to LRS the applicable "Per Seat License Fee" set forth in the compensation provisions attached hereto as Exhibit B.

Its purpose is to keep the user informed of "interesting" information found on the worldwide web, on a local intranet, or in other network accessible data sources. This information is retrieved and presented to the user periodically allowing the user to keep tabs on "important" items while not being distracted or consumed with a web browser.   • Winter Season means the period commencing on November 1 of any year and ending on the next succeeding March 31.

  • Diameter means the diameter of the stem of a tree measured outside the bark at a specified point of measurement.

  • Rooming unit means any room or group of rooms forming a single habitable unit used or intended to be used for living and sleeping, but not for cooking or eating purposes.

  • Diameter at breast height (dbh) means the diameter of a tree at 4 1/2 feet above the ground measured from the uphill side.

  • Sailboat means the same as that term is defined in Section 73-18-2.

  • Deck means a walkway immediately adjacent to a swimming pool.
