Peer Banks definition

Peer Banks means, for each three year measurement period, the component companies included in the SNL Mid Cap Bank Index during the entire measurement period, or if the SNL Mid Cap Bank Index is no longer maintained or is no longer appropriate, in the reasonable judgment of the Committee, the Peer Banks shall instead be the companies included in any other reasonably comparable index prepared by a third party or the Committee of publicly-traded financial companies with market capitalizations in the $1.0 billion to $5.0 billion range, or such other range of market capitalizations such that Employer falls between the 25th and 75th percentile in terms of size of market capitalization.
Peer Banks means, for each three year measurement period, the component companies included in the KBW Bank Index during the entire measurement period, or if the KBW Bank Index is no longer maintained or is no longer appropriate, in the reasonable judgment of the Committee, the Peer Banks shall instead be the companies included in any other reasonably comparable index prepared by a third party or the Committee of publicly-traded financial companies with market capitalizations in the $1.0 billion to $5.0 billion range, or such other range of market capitalizations such that Employer falls between the 25th and 75th percentile in terms of size of market capitalization.
Peer Banks means the component companies ranked as the 11th through 50th of the largest banks in the SNL Bank Index (but excluding the Company) as measured by assets based on the most recently available public data as of the first day of the Performance Period or if the SNL Bank Index is no longer maintained or is no longer appropriate, in the reasonable judgment of the Committee, the Peer Banks listed in any other reasonably comparable index prepared by a third party or the Committee of publicly-traded financial companies such that the Company falls between the 25th and 75th percentile in terms of size of market capitalization and/or assets. If on the last day of the Performance Period, a Peer Bank would not otherwise qualify as a “Peer Bank” if the component companies were determined on the last day of the Performance Period, such Peer Bank shall be disregarded and shall not be replaced.

In the case of a merger or acquisition involving two Peer Companies during the TSR Measurement Period, the acquiree or merged company, as the case may be, shall be removed from the list of Peer Companies, and the acquirer or successor company, as the case may be, shall remain on the list of Peer Companies. In the case of a spinoff involving a Peer Company during the TSR Measurement Period, such company shall remain on the list of Peer Companies, provided that it remains an appropriate peer. Any new company formed as a result of the spinoff shall not be added to the list of Peer Companies for the current TSR Measurement Period (however, such company may be added to the list of Peer Companies for subsequent awards, if the Committee deems such inclusion appropriate). For the avoidance of doubt, following the closing of the Company’s acquisition of Celgene Corporation (“Celgene”), Celgene shall be has been removed from the list of Peer Companies.
