Examples of Payment Taxes in a sentence
The Company shall indemnify Holder, within fifteen (15) days after written demand therefor, for the full amount of any Payment Taxes or Disposition Taxes paid by Holder (including any taxes imposed or asserted on or attributable to amounts payable under this Section 2(c)(iii)) and any expenses or losses arising therefrom or with respect thereto whether or not such Payment Taxes or Disposition Taxes were correctly or legally imposed or asserted by the relevant governmental authority.

If any Payment Taxes are so levied or imposed, the Borrower agrees to pay the full amount of such Payment Taxes, and such additional amounts as may be necessary so that every payment of all amounts due under this Credit Agreement or any other Credit Document, after withholding or deduction for or on account of any Payment Taxes, will not be less than the amount provided for herein or therein.

Transcell has either withheld and paid over to the relevant taxing authority or set aside in accounts an amount equal to all material taxes required to have been withheld and paid in connection with payments made by Transcell to employees, independent contractors, creditors or stockholders of Transcell ("Payment Taxes").
Borrower agrees to indemnify and hold harmless Lender, and reimburse Lender upon its written request, for the amount of any Payment Taxes so levied or imposed and paid by Lender.
The provisions of the sections titled "Payment," "Taxes and Benefits," "Liability," "Confidential and Proprietary Information," and "Non-Solicitation" shall survive termination of this Agreement or any relationship between ALYDAAR and COMPUWARE.
