Partner Management Committee definition

Partner Management Committee has the meaning set forth in Section 4.2(a).
Partner Management Committee means the Partner Management Committee of each Och-Ziff Operating Group entity as it may be constituted from time to time in accordance with the applicable Och-Ziff Operating Group Agreement and, which, as of the date hereof, consists of Messrs. Och, Xxxxxxxxx, Xxxxx, Cohen, Varga, Xxxxx and Xxxxx, with Mr. Och serving as Chairman.

Examples of Partner Management Committee in a sentence

  • Any member of the Partner Management Committee who is unable to attend a meeting of the Partner Management Committee may grant in writing to another member of the Partner Management Committee such member’s proxy to vote on any matter upon which action is to be taken at such meeting.

  • Upon a reconstitution as provided in clause (1) above, the Partner Management Committee shall have the rights of reconstitution described in the previous sentence in the event of the new Chairman’s Special Withdrawal, Withdrawal, death, Disability or removal by a majority vote of the other members of the Partner Management Committee.

  • Each member of the Partner Management Committee shall serve until such member’s Special Withdrawal, Withdrawal, death, Disability or, other than with respect to Xxxxxx X.

  • No meeting may be held without the attendance of a majority of the members of the Partner Management Committee, including the Chairman (if any).

  • The Chairman of the Partner Management Committee shall have the ability to take action unilaterally as expressly set forth in this Agreement.

  • Upon the Special Withdrawal, Withdrawal, death, Disability or removal of any of the members of the Partner Management Committee other than the Chairman, the remaining members of the Partner Management Committee shall act by majority vote to fill such vacancy.

  • The Partner Management Committee shall have the powers and responsibilities described in Section 4.2(d).

  • The Partner Management Committee shall conduct its business by such other procedures as approved in writing by a majority of its members including the Chairman.

  • Meetings of the Partner Management Committee shall be held at such time, at such place and in such manner as the Chairman shall determine (or, in the case of there being no Chairman, at such times as a majority of the other members of the Partner Management Committee request).

  • Och, removal by a majority vote of the other members of the Partner Management Committee.

  • Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.

  • Managing Committee means the individual or the body of individuals entrusted or charged with the management and administration of a private educational institution and where a society, trust, or an association manages more than one such institution, includes the managing committee of each such institution;

  • Development Committee shall have the meaning set forth in Section 3.4.1.

  • Joint Development Committee or “JDC” has the meaning set forth in Section 3.10.

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • Operating Committee means the Operating Committee of Epoch which meets frequently and is responsible for implementing the Company’s strategy, making operational decisions and overseeing the day-to-day running of the Company.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • State Management Committee means a Committee comprising representatives from the Confederation of Western Australian Industry, the Trades and Labor Council of Western Australia, Technical and Further Education (TAFE) and the relevant Federal and State Government Departments which approve traineeship arrangements by agreement of each of the parties. The State Management Committee may be established pursuant to the provisions of the Industrial and Commercial Training Act, 1975 or any amendment to or substitution of that Act, provided that any Committee or body established in lieu of the State Management Committee has the same representatives structure and decision making processes as that Committee.

  • Investment Committee means the committee in charge of investment aspects of the Plan, as described in Article VII.

  • Procurement Committee means a Committee constituted by the Employer to perform the functions as such under the terms and conditions of Contract.

  • Joint Committee means the Joint Committee established by Article 164(1) of the withdrawal agreement;

  • Banning Committee means a Committee constituted for the purpose of these guidelines by the competent authority. The members of this Committee shall not, at any stage, be connected with the tendering process under reference.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Oversight Committee means the committee established to monitor the overall implementation of the Canada-Ontario-AMO-Toronto Agreement.

  • Steering Committee has the meaning set forth in Section 2.

  • Review Committee or “Committee” means a committee established pursuant to rule Chapter 67-60, F.A.C.

  • Coordinating Committee means the committee designated and elected as provided in section 16d in connection with a township consolidation.

  • Independent Committee means a committee of the board of directors of the General Partner made up of directors that are “independent” of Brookfield and its Affiliates, as contemplated by applicable securities Laws;

  • Monitoring Committee means the committee established under clause 10 of this Award.

  • Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.

  • Screening Committee means the State level Screening Committee constituted in terms of sub-rule (2) of rule 123 of these rules.

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 116;

  • Network Operating Committee means a group made up of representatives from the Network Customer(s) and the Transmission Provider established to coordinate operating criteria and other technical considerations required for implementation of Network Integration Transmission Service under Tariff, Part III.

  • Joint Steering Committee or “JSC” has the meaning set forth in Section 3.1.

  • Retirement Committee means a committee consisting of the Company’s Vice President of Human Resources, the Director of HR Operations and the Compensation & Benefits Manager.

  • Supervisory Committee means the Comisión Fiscalizadora of the Company.
