Each Parent Stock Option has been granted with an exercise price per share equal to or greater than the per share fair market value (as such term is used in Code Section 409A and the guidance and regulations issued thereunder) of Parent Common Stock underlying such Parent Stock Option on the grant date thereof.
Parent and Subject Company hereby acknowledge that the Merger will constitute a "Change in Control" for purposes of the Parent Plans and the Plans and agree to abide by the provisions of any Plan or Parent Plan which relate to a Change in Control, including, but not limited to, the accelerated vesting and/or payment of equity- based awards under the Parent Stock Option Plans and the Subject Company Stock Option Plans.

Except as contemplated by this Agreement, there are not at the date of this Agreement any existing options, warrants, calls, subscriptions, convertible securities, or other rights, agreements or commitments which obligate Parent or any of its Subsidiaries to issue, transfer or sell any shares of capital stock of Parent or any of its Subsidiaries (other than under Parent Stock Option Plans).
