Parent Reserve Report definition

Parent Reserve Report has the meaning set forth in Section 4.16(a).

Parent Reserve Report has the meaning set forth in Section 5.14.

• The factual, non-interpretive data relating to the Oil and Gas Properties of Parent and the Parent Subsidiaries on which the Parent Reserve Report was based was complete and accurate at the time such data was provided to Xxxxx Xxxxx for use in the Parent Reserve Report, except for any incompleteness or inaccuracy that would not be reasonably expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

• Except for changes (including changes in Hydrocarbon commodity prices) generally affecting the oil and gas industry and normal depletion by production, there has been no change in respect of the matters addressed in the Parent Reserve Report that would be reasonably expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

More Definitions of Parent Reserve Report

Parent Reserve Report means the reserve report as of December 31, 2004 prepared by Parent as audited by Hxxxxxxxxx & Co., Inc. and provided to the Company.

Parent Reserve Report means the Aries report on reserves and economics dated December 1, 2004, prepared by Parent and provided to the Company.

Parent Reserve Report means the reserve report dated October 1, 2001, prepared by Parent and provided to Prize.

Parent Reserve Report has the meaning given such term on page 45 of this Agreement.

Parent Reserve Report means the reserve report as of December 31, 2008 prepared by Parent as audited by Netherland, Xxxxxx & Associates, Inc. and provided to the Company. “Parent Returns” has the meaning ascribed to it in Section 4.13. “Parent SEC Documents” has the meaning ascribed to it in Section 4.3.

Parent Reserve Report has the meaning set forth in Section 6.14. “Parent SEC Documents” has the meaning set forth in Article VI.

Parent Reserve Report means the report of Rxxxx Xxxxx Company, Cxxxxx, Gxxxxxxxx & Associates, Inc. and R.X. Xxxxxx & Associates, Inc., containing estimates of the Parent’s and WOGC’s oil and gas reserves as of October 7, 2003.
