Parent Permits definition

Parent Permits has the meaning set forth in Section 4.1.

Parent Permits means all franchises, tariffs, grants, authorizations, licenses, permits, easements, variances, exemptions, consents, certificates, approvals and orders of any Governmental Entity necessary under applicable Law to own, lease and operate Parent’s and the Parent Subsidiaries’ assets and properties and to lawfully carry on Parent’s and the Parent Subsidiaries’ as they are being conducted as of the date of this Agreement.

Examples of Parent Permits in a sentence

• None of the Parent Permits is subject to any proceeding for revocation or modification and no approval or consent of any Person is needed in order that the Parent Permits continue in full force and effect following the consummation of the transactions contemplated hereby.

• All of such material Parent Permits are set forth on Schedule 5.8 and are valid, in good standing, and in full force and effect and the Parent has duly performed in all material respects all of its obligations under such Parent Permits, except where the failure to be valid, in good standing, and in full force and effect or the Parent’s failure to perform such obligations would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

• Parent and each of its Subsidiaries are and since January 1, 2021, have been in compliance with the terms of Parent Permits, except for failures to comply that have not had and would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

• All Parent Permits are in full force and effect, except where the failure to be in full force and effect would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

Parent Permits shall have the meaning set forth in Section 3.9(b).

Parent Permits means franchises, grants, authorizations, licenses, permits, easements, variances, exceptions, consents, concessions, registrations, clearances, exemptions, certificates, approvals and orders of any Governmental Authority necessary for Parent and each of its Subsidiaries to own, lease and operate their respective properties and assets or to carry on their respective businesses as they are now being conducted.

Parent Permits shall have the meaning specified in Section 5.06(a).
