Parent Pension Plan definition

Parent Pension Plan means any benefit plan maintained, sponsored or contributed to by Parent or any of its Subsidiaries, which is subject to ERISA, and is an “employee pension benefit plan” within the meaning of Section 3(2)
Parent Pension Plan means each: (a) Parent Employee Plan that is an “employee pension benefit plan,” within the meaning of Section 3(2) of ERISA; or (b) other occupational pension plan, including any final salary or money purchase plan.
Parent Pension Plan has the meaning set forth in Section 3.1(b).

  • All contributions required to be made under each Parent Pension Plan, as of the date of this Agreement, have been timely made and all obligations in respect of each Parent Pension Plan have been properly accrued and reflected in the most recent consolidated balance sheet filed or incorporated by reference in the Parent Reports prior to the date of this Agreement, except as would not, individually or in the aggregate, reasonably be expected to have a Parent Material Adverse Effect.

Parent Pension Plan means the U.S. Bancorp Pension Plan in effect as of the time relevant to the applicable provision of this Agreement.

Parent Pension Plan has the meaning set forth in Section 3.1(b). “Part I Benefits” has the meaning set forth in Section 3.2(b). “Part III Benefits” has the meaning set forth in Section 3.2(b). 3 “Party” and “Parties” have the meanings set forth in the Preamble. “Pension Plan Obligations” has the meaning set forth in Section 3.2(b). “Person” means any individual or legal entity, including any partnership, joint venture, corporation, trust, unincorporated organization, limited liability company or Governmental Entity. “Record Date” means the close of business on the date to be determined by the Board of Directors of Parent as the record date for determining stockholders of Parent entitled to receive HY Common Stock in the Spin-Off, which date will be a business day preceding the day of the Spin-Off Date. “Retained Name” has the meaning set forth in Section 4.7. “Share Issuance” has the meaning set forth in Section 2.2. “Spin-Off” has the meaning set forth in Recital A. “Spin-Off Date” means the date on which the Spin-Off occurs. “Stockholders’ Agreement” means the Stockholders’ Agreement, dated as of the date hereof, by and between HY and certain other parties, the form of which is attached hereto as Exhibit B. “Subsidiary” of any Person means (i) any Person whose financial results are required to be consolidated with the financial results of the first Person in the preparation of the first Person’s financial statements under GAAP or (ii) for purposes of Article III, any nonconsolidated project mine subsidiary of the North American Coal Corporation. “Tax Allocation Agreement” means the Tax Allocation Agreement, dated as of the date hereof, by and between Parent and HY, the form of which is attached hereto as Exhibit C. “Taxes” has the meaning set forth in the Tax Allocation Agreement; provided; however; that such term will not include any Liabilities owed to, or imposed by, the Pension Benefit Guaranty Corporation under ERISA. “Termination Date” has the meaning set forth in Section 7.1. “Transferred Employees” has the meaning set forth in Section 3.1(a). “Transition Services Agreement” means the Transition Services Agreement by and between Parent and HY in substantially the form attached hereto as Exhibit D. 1.2
