Parent Organizational Documents definition

Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.
Parent Organizational Documents shall have the meaning set forth in Section 5.2.
Parent Organizational Documents means the Amended and Restated Certificate of Incorporation and the Amended and Restated Bylaws of Parent, together with all amendments thereto.

More Definitions of Parent Organizational Documents

Parent Organizational Documents means the Parent Certificate of Incorporation and Parent’s bylaws, in each case as may be amended from time to time in accordance with the terms of this Agreement.
Parent Organizational Documents means the Parent Bylaws and Parent Charter, together.
Parent Organizational Documents means the certificate of incorporation and bylaws, each as amended as of the date of this Agreement, of each of Parent and Merger Sub.
Parent Organizational Documents means (i) the Amended and Restated Certificate of Incorporation of Parent, dated as of March 4, 2021 (the “Parent Charter”), (ii) the Bylaws of Parent (the “Parent Bylaws”), (iii) the Amended and Restated Warrant Agreement, dated as of July 23, 2021, by and between Parent and Continental Stock Transfer & Trust Company (the “Parent Warrant Agreement”), (iv) the Trust Agreement, and any other similar organizational documents of Parent, as each may be amended, modified or supplemented.
Parent Organizational Documents means the Parent Charter and the Parent Bylaws.
Parent Organizational Documents means the Parent Articles of Incorporation and the Parent Bylaws, in each case as amended, modified or supplemented from time to time.
