Parent Material Contract definition

Parent Material Contract has the meaning set forth in Section 4.20(a).

• Each Parent Material Contract to which the Parent or any of its Subsidiaries is a party is in full force and effect, and there exists no material breach or violation of or default by the Parent or any of its Subsidiaries under any such Parent Material Contract, or any event that with notice or the lapse of time, or both, will create a material breach or violation thereof or default under any such Parent Material Contract by the Parent or any of its Subsidiaries.

• There exists no actual or threatened termination, cancellation or limitation of, or any amendment, modification or change to, any such Parent Material Contract.

• To the Knowledge of the Parent, the continuation, validity and effectiveness of each Parent Material Contract to which the Parent or any of its Subsidiaries is a party will in no way be affected by the consummation of the Merger.

Parent Material Contract means any Contract to which Parent or any of its Subsidiaries is a party, except for this Agreement or as expressly set forth below, that:

Parent Material Contract means, with respect to Parent, Parent OP or any of the Parent Subsidiaries, all contracts, agreements or understandings (whether written or oral) that are currently in effect or pursuant to which Parent, Parent OP or a Parent Subsidiary has obligations or its assets are otherwise bound that are required to be filed as an exhibit to Parent’s Annual Report on Form 10-K on or after January 1, 2021 pursuant to Item 601(b)(2), Item 601(b)(4), Item 601(b)(9) or Item 601(b)(10) of Regulation S-K of Title 17, Part 229 of the Code of Federal Regulations.
