Parent Guarantor definition

Parent Guarantor has the meaning specified in the recital of parties to this Agreement.

Parent Guarantor means that successor Person until released pursuant to the applicable provisions of this Indenture.

• In case of SGIS or SGE as New SG Issuer, the payment obligations (including any delivery obligations) of the relevant New SG Issuer under the Securities will be unconditionally and irrevocably guaranteed by SG (the "Parent Guarantor" and such guarantee, the "Parent Guarantee").

• If there is no Parent Guarantee, all references to Parent Guarantee and Parent Guarantor shall be disregarded.
