Parent Fundamental Representations definition

Parent Fundamental Representations means the representations and warranties of Parent set forth in Section 5.1 (Corporate Existence and Power), Section 5.3 (Corporate Authorization), Section 5.6 (Finders’ Fees), Section 5.7 (Issuance of Shares), and Section 5.8 (Capitalization).
Parent Fundamental Representations means the representations and warranties of Parent and Merger Sub set forth in Sections 3.1(a) (Due Organization; Subsidiaries), 3.3 (Authority; Binding Nature of Agreement), 3.4 (Vote Required) and 3.18 (No Financial Advisors).
Parent Fundamental Representations shall have the meaning set forth in Section 7.3(a).

  • The Parent Fundamental Representations shall have been true and correct in all material respects as of the date of this Agreement and shall be true and correct in all material respects on and as of the Closing Date with the same force and effect as if made on and as of such date (except to the extent such representations and warranties are specifically made as of a particular date, in which case such representations and warranties shall be true and correct in all material respects as of such date).

Parent Fundamental Representations means the representations and warranties made in Section 3.01, Section 3.02, but, with respect to the first sentence, only to the extent applicable to the Company, Section 3.03(a), Section 3.10(d), but with respect to the second and third sentences only, Section 3.25 and Section 3.26.
