Parent Common definition

Parent Common means the issued and outstanding shares of Parent common stock; (iv) the term "Merger Agreement" shall mean the Agreement and Plan of Merger dated as of , 1998 among Parent, Sub and the Company; and (v) the term "Code" shall mean the Internal Revenue Code of 1986, as amended. The Company hereby represents, warrants, and undertakes as follows:
Parent Common means the Common Stock of Parent, par value $.01.
Parent Common. STOCK: the common stock of Parent, par value $.01 per share.

  • There is no voting trust, agreement or arrangement among any of the beneficial holders of Parent Common Stock affecting the nomination or election of directors or the exercise of the voting rights of Parent Common Stock.

  • All of the issued and outstanding shares of Parent Common Stock have been duly authorized and validly issued and are fully paid, nonassessable and free of preemptive rights, with no personal liability attaching to the ownership thereof.

  • The Escrow Agent shall be entitled to rely on any such memorandum and distribute shares of Parent Common Stock from the Escrow Fund in accordance with the terms thereof.

  • The shares of Parent Common Stock to be issued pursuant to the Merger will be duly authorized and validly issued and, at the Effective Time, all such shares will be fully paid, nonassessable and free of preemptive rights, with no personal liability attaching to the ownership thereof.

More Definitions of Parent Common

Parent Common or “Parent Common Stock” shall mean shares of Parent’s Common Stock, $.001 par value per share.
Parent Common is defined in Section 2.4(c)(i) of this Agreement.

Related to Parent Common

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Parent Capital Stock means Parent Common Stock and Parent Preferred Stock.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Parent Equity Plan means the Energy Transfer Equity, L.P. Long-Term Incentive Plan.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Holding Company Transaction means the occurrence of (a) any transaction (including, without limitation, any acquisition, merger or consolidation) the result of which is that a “person” or “group” within the meaning of Section 13(d) of the Securities Exchange Act of 1934, as amended, (i) becomes the direct or indirect ultimate “beneficial owner,” as defined in Rule 13d-3 under that Act, of common equity of the Issuer representing more than 50% of the voting power of the outstanding Common Stock or (ii) is otherwise required to consolidate the Issuer for purposes of generally accepted accounting principles in the United States, or (b) any consolidation or merger of the Issuer or similar transaction or any sale, lease or other transfer in one transaction or a series of related transactions of all or substantially all of the consolidated assets of the Issuer and its subsidiaries, taken as a whole, to any Person other than one of the Issuer’s subsidiaries; provided that, in the case of either clause (a) or (b), the Issuer or the Acquiror is or becomes a Bank Holding Company or Savings and Loan Holding Company.

  • Constituent Corporations has the meaning set forth in the second recital of this Agreement.

  • Subsidiary Corporation means any present or future “subsidiary corporation” of the Company, as defined in Section 424(f) of the Code.
