Parent Articles definition

Parent Articles means the Articles of Incorporation of Parent, as amended.

Parent Articles means the articles of association of Parent in effect from time to time;

• Ultimate Parent has furnished or otherwise made available to the Company, prior to the date hereof, a correct and complete copy of the Articles of Incorporation, as amended to date (the "Ultimate Parent Articles of Incorporation"), and the Bylaws, as amended to date (the "Ultimate Parent Bylaws"), of Ultimate Parent as in effect as of the date hereof.

More Definitions of Parent Articles

Parent Articles means the Restated Articles of Incorporation of Parent.

Parent Articles means the charter of Parent.

Parent Articles means the articles of incorporation of Parent, as amended, as on file with the Division of Corporations and Commercial Code of the State of Utah and in effect as of the date of this Agreement.

Parent Articles means the Amended and Restated Memorandum and Articles of Association of Parent, adopted by special resolution dated December 14, 2021 and effective on December 14, 2021.

Parent Articles has the meaning given to that term in Section 2.1.1(a)(i). “Parent Bylaws” has the meaning given to that term in Section 2.1.1(a)(ii).
