Parent Agreements definition

Parent Agreements has the meaning set forth in Section 5.2.

Parent Agreements means agreements or contracts to which Parent is a party or a beneficiary and has rights or interests exclusive of the rights and interest of the Debtors, including the PES Advisory Agreement, PES Registration Rights Agreement, PES Refining Contribution Agreement, the Parent Employment Agreements, and the Parent LLC Agreement.
