The Redemption Price upon an Optional Redemption or a Tax Event shall be the Par Redemption Amount.
At any time prior to December 15, 2031, the Company shall have the right to redeem the Junior Subordinated Debentures in whole, but not in part, and only following the occurrence of a Tax Event or a Rating Agency Event, at a cash redemption price equal to the greater of (i) the Par Redemption Amount and (ii) the Special Event Make-Whole Redemption Amount.
