Owner Affiliate definition

Owner Affiliate means, with respect to any Owner, any entity that directly or indirectly through one or more intermediaries’ controls, or is controlled by, or is under common control with, such Owner.

Owner Affiliate means any person which is from time to time directly controlled by the Owner and for this purpose a person is directly controlled by the Owner if the Ownerbeneficially owns shares (or their equivalent) carrying the majority of votes at a general meeting of shareholders (or their equivalent) of the person;

Owner Affiliate means (i) Owner’s parent-corporation, affiliates, subsidiaries, or related companies; (ii) a successor company related to Owner by merger, consolidation, non-bankruptcy reorganization, or government action; or (iii) a purchaser of substantially all of Owner’s assets in the State of Texas.

• Allocation Factor shall equal the ratio of Connecting Transmission Owner Transmission-related direct electric wages and salaries including any direct wages or salaries charged to Connecting Transmission Owner by a Connecting Transmission Owner Affiliate to Connecting Transmission Owner’s total electric direct wages and salaries including any wages charged to Connecting Transmission Owner by a Connecting Transmission Owner Affiliate excluding any electric administrative and general wages and salaries.

• Examples may include: 1) Contractor who has business or non-business relationships with Owner employees who can make decisions impacting Contractor’s business; 2) Owner employees or their family members who have an ownership interest in Contractor’s business; or (3) Contractor employees or their family members who serve as an officer, director, employee, agent or consultant of Owner or any Owner Affiliate.

• Acts or events caused by the negligent or willful act or omission of the Development Owner, Affiliate or a Related Party shall under no circumstance be considered to be caused by Force Majeure.

• No Owner may assign or otherwise transfer, other than to another Owner or an Owner Affiliate, any of its partnership interest in the Licensee without the prior written consent of the Minister, which consent shall not be unreasonably withheld or delayed.

• Acts or events caused by the negligent or willful act or omission of the Development Owner, Affiliate or a Related Party shall under no circumstance be considered to be caused by Force Ma- jeure.

More Definitions of Owner Affiliate

Owner Affiliate means Owner, DeepTech International Inc. and their Affiliates (herein defined) and any entity in which Owner, DeepTech International Inc. or any of their Affiliates owns (directly or indirectly) 20% or more of the interest therein.

Owner Affiliate means, (i) any entity that directly or indirectly controls, is controlled by, or is under common control with OWNER, or (ii) an entity at least a majority of whose economic interest is owned by OWNER. For purposes of this definition, the term “control” means the power to direct the management of such entity through voting rights, ownership or contractual obligations.

Owner Affiliate means any entity that is directly or indirectly controlled by or is under common control with Owner.

Owner Affiliate means any entity that directly or indirectly, through one or more intermediaries, controls, is controlled by or is under common control with, Owner. The term “control” shall mean direct or indirect ownership of more than fifty percent (50%) of the voting stock of a corporation (or equivalent equity interest for other types of entities) or the power to direct or cause the direction of the management and policies of the controlled entity, whether through the ownership of voting securities, by contract or otherwise.

Owner Affiliate means any person or entity that directly or indirectly Controls, is Controlled by, or is under common Control with, Owner and the terms “Control” or “Controlled by” or “Controlling” or any derivative thereof, when used with respect to any specified entity or person, shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of such specified entity or person, whether through ownership of voting securities or other ownership interests or by contract. Without limiting the generality of the foregoing, any entity or person which together with Owner Affiliates owns, directly or indirectly, securities representing more than twenty percent (20%) of the value or ordinary voting power of a corporation or more than twenty percent (20%) of the partnership, general partnership, membership or other ownership interests (based upon value or vote) of any other entity is deemed to Control such entity.

Owner Affiliate means, when used with reference to the Owner, (a) any Person (as defined below) that directly or indirectly through one or more intermediate controls or is controlled by or is under common control with the Owner, and (b) any Person which directly or indirectly is the beneficial owner of ten percent (10%) or more of any class of equity securities, partnership interests or other ownership interests in the Owner or of which the specified Person is directly or indirectly the owner of ten percent (10%) or more of any class of equity securities, partnership interests or other ownership interests. For the purposes of this definition, “control” means the power to direct the management and policies of such Person, directly or through one or more intermediaries, whether through the ownership of voting securities, by agreement or otherwise, and the term “controlled” has the meaning correlative to the foregoing. “Person” shall mean any corporation, trust, business trust, or association and the assigns thereof, where the context so requires.

Owner Affiliate means (i) any individual or entity that directly or indirectly, through one or more intermediaries, controls or is controlled by or is under common control with Owner, (ii) any officer, director or trustee of Owner or any other entity referenced in the preceding clause (i), (iii) any individual or entity that directly or indirectly retains a beneficial ownership interest of five percent (5%) or more in Owner or any other entity referenced in the preceding clause (i), (iv) any entity of which Owner, directly or indirectly, retains a beneficial ownership interest of five percent (5%) or more, and (v) any individual related by blood or marriage to any individual referenced in the preceding clauses (i) through (iv).
