Owned Securities definition

Owned Securities has the meaning set forth in the Recitals.

Owned Securities means, with respect to an Investor, the Company Securities Beneficially Owned by such Investor and/or its Affiliates as of the date hereof, as set forth in the column titled “Owned Securities” opposite its name in the table under Schedule A hereto.

Owned Securities has the meaning set forth in Section 2.1(b).

Examples of Owned Securities in a sentence

• Any such Equity Securities shall automatically become subject to the terms of this Agreement as though owned by Shareholder as of the date hereof and shall be deemed to be Owned Securities.

• Shareholder further agrees to authorize and request Parent and the Company to notify the Company’s transfer agent that there is a stop transfer order with respect to all of the Owned Securities or Beneficially Owned Securities (other than in respect of Transfers expressly permitted by this Section 2.3) and that this Agreement places limits on the voting of the Owned Securities or Beneficially Owned Securities.

• Shareholder hereby authorizes Parent and the Company to publish and disclose in any announcement or disclosure required by the SEC, including the Proxy Statement, Shareholder’s identity and ownership of the Owned Securities or Beneficially Owned Securities and the nature of Shareholder’s obligation under this Agreement, provided that Shareholder is provided with a reasonable opportunity to review and comment on such disclosure.

• Shareholder hereby revokes any and all previous proxies granted with respect to its Owned Securities or Beneficially Owned Securities.

• If Shareholder fails for any reason to be counted as present, consent or vote the Owned Securities in accordance with the requirements of Section 2.1 above (or anticipatorily breaches such section), then Parent shall have the right to cause to be present, consent or vote Shareholder’s Owned Securities in accordance with the provisions of Section 2.1. The proxy granted by Shareholder shall be automatically revoked upon termination of this Agreement in accordance with its terms.

More Definitions of Owned Securities

Owned Securities means EMC Common Shares and other securities of EMC, including EMC Convertible Securities and EMC Common Shares issuable upon the exercise of thereof, that are directly or indirectly beneficially owned by the Shareholder or over which control or direction is exercised by the Shareholder directly or indirectly, which as at the date hereof are more particularly set forth in Schedule A, and includes any EMC securities acquired after the date hereof;

Owned Securities means the Shares and other securities of the Company over which the Shareholders, directly or indirectly, exercise control or direction as listed on Schedule “A”.

Owned Securities means all of the warrants to purchase equity securities of the Company beneficially owned by Holder, including warrants to purchase equity securities of the Company that will be issued by the Company upon the Holder's conversion of any convertible debt pursuant to Section 5.2 hereof, and prior to the Closing contemplated by Sections 5.1 and 5.3 hereof.

Owned Securities means in respect of each Management Party, except as disclosed in writing to Yamana on the date hereof, Northern Orion Common Shares and other securities of Northern Orion, including Northern Orion Options and Northern Orion Warrants, that are directly or indirectly beneficially owned by such Party hereto or over which control or direction is exercised by such Party, which as at the date hereof are more particularly set forth in Schedule B, and includes any Northern Orion Common Shares and other securities of Northern Orion acquired after the date hereof. For greater certainty, a Party shall not have control or direction over securities solely because the Party has been appointed as a proxy by some other Person for the purpose of voting Northern Orion Common Shares at a meeting of shareholders of Northern Orion;

Owned Securities means Glamis Common Shares and other securities of Glamis, including Glamis Options, that are directly or indirectly beneficially owned by a Party hereto or over which control or direction is exercised by such Party, which as at the date hereof are more particularly set forth in Schedule B, and includes any Glamis Common Shares and other securities of Glamis acquired after the date hereof. For greater certainty, a Party shall not have control or direction over securities solely because the Party has been appointed as a proxy by some other Person for the purpose of voting Glamis Common Shares at a meeting of shareholders of Glamis;

Owned Securities means all Securities (including all options, warrants and other contingent securities, and together with all shares into which such shares and other Securities are convertible or for which such shares are exchangeable) which are owned of record or beneficially by the Shareholder at any time.

Owned Securities means E&C Common Shares and other securities of E&C, including E&C Convertible Securities, that are directly or indirectly beneficially owned by the Shareholder or over which control or direction is exercised by such Shareholder, which as at the date hereof are more particularly set forth in Schedule B, and includes any E&C Securities acquired after the date hereof and over which the Shareholder has direct or indirect beneficial ownership or exercises control or direction (for greater certainty, the term Owned Securities does not include any securities of E&C over which the Shareholder may have control or direction solely by virtue of the provisions of the Inter-Shareholder Agreement);
