Owned Registered IP definition

Owned Registered IP means all Registered IP owned or purported to be owned by any Acquired Company.
Owned Registered IP shall have the meaning set forth in Section 4.5(a).

More Definitions of Owned Registered IP

Owned Registered IP means Intellectual Property that is registered or subject to a pending application with a Governmental Authority (including, for clarity, any renewals or extensions thereof) and Domain Name registrations, and in each case, that (a) is owned or purportedly owned by the Company Group as of the date hereof or during the Pre-Closing Period or (b) will be transferred to the Company Group pursuant to the Pre-Closing IP Transfer.
Owned Registered IP means all applications and registrations for Intellectual Property owned by MONY.
Owned Registered IP shall have the meaning set forth in Section 2.9(a) (Intellectual Property).
Owned Registered IP means (A) each issued patent owned by the Company or any of its Subsidiaries, (B) each pending patent application filed by or on behalf of the Company or any of its Subsidiaries, (C) each trademark registration, service mxxx registration, and copyright registration owned by the Company or any of its Subsidiaries, (D) each application for trademark registration, service mxxx registration, and copyright registration made by or on behalf of the Company or any of its Subsidiaries, and (E) each domain name registered by or on behalf of the Company or any of its Subsidiaries.
Owned Registered IP means all Registered Intellectual Property that is owned or purported to be owned by either Seller.
Owned Registered IP means all Registered IP owned or purported to be owned by any Acquired Company. “Parent” is defined in the preamble to the Agreement.

As of the date of this Agreement, no interference, opposition, reissue, reexamination proceeding, cancellation proceeding, or other Legal Proceeding (other than routine examination proceedings with respect to pending applications) is pending or, to the Knowledge of the Company, threatened in writing against any Acquired Company, in which the scope, validity, enforceability, priority, inventorship, or ownership of any Owned Registered IP is being contested or challenged. With respect to active Owned Registered IP, the Acquired Companies have taken all reasonable steps necessary to maintain such registrations and applications, as applicable, including by payment when due of all maintenance fees and annuities and the filing of all necessary responses, renewals, statements, and certifications.
