No source code for any Owned Company Software or, to the Knowledge of the Company, any Licensed Software has been delivered, licensed or made available to any escrow agent or other Person who is not an employee, consultant or contractor of the Company, other than Licensed Company Software that is licensed under a “shrink-wrap,” “click-through” or other form of end user license agreement and is generally commercially available for a license fee of no more than $20,000.
No Owned Company Software and, to the Knowledge of the Company, no Licensed Company Software infringes, violates or makes unlawful use of any Intellectual Property Right of, or contains any Intellectual Property misappropriated from, any other Person.
The Company has complied and does comply in all material respects with all license terms applicable to any item of Open Source Software that is or has been included, incorporated or embedded in, linked to, combined or distributed with or used in the delivery or provision of any Owned Company Software.
