Other Vessel definition

Other Vessel means a passenger cruise vessel (other than the Purchased Vessel) owned by the Borrower or one of its Subsidiaries.

Other Vessel means the drillship being constructed by the Builder for the Other Owner with Hull Number 1837.

Other Vessel means any of the vessels identified as "Other ------------ Vessels" in Schedule 1 to the Charter Party.

• The Owner has approached us and notified us that the Other Owner (being Drillship Hydra Owners Inc.) intends to finance the acquisition of the Other Vessel (being the drillship with hull number 1837) from the Builder by way of a bond (the Bond) which will be offered to potential investors.

• The Fair Market Value of the Vessel and the Other Vessel (as the case may be) shall be determined (a) for the purposes of Clause 2.1 (Amount) and Clause 3.1 (Conditions precedent), (b) for the purposes of determining the relevant percentage referred to in Clause 10.14 (Additional Security) semi-annually in each calendar year on the second and fourth Quarter Date commencing from 31 December 2014 and (c) for the purposes of Clause 6.3 (Mandatory prepayment), in each case at the cost of the Borrower.

• For each such Vessel, notwithstanding anything to the contrary in the Subject Agreements, beginning on the INSW Transaction Closing, CSM and/or its Affiliates, DSSI and/or Newco shall use their respective reasonable best efforts to facilitate the Other Vessel Transition on the earliest practical date after the INSW Transaction Closing.

• Notwithstanding the terms contained in Clause 10.15.1(b) above, all valuations of the Vessel, the Other Vessel or any Fleet Vessel shall be made on a “desk-top” basis and on the basis of a charter-free sale for prompt delivery for cash at arm’s length, on normal commercial terms as between a willing buyer and a willing seller.

More Definitions of Other Vessel

Other Vessel means a pushboat or barge owned by a Borrower, the Guarantor or any other Guarantor Subsidiary that is registered under the law and flag of a country other than Paraguay or Liberia, together with all ancillary equipment and parts;

Other Vessel means the crude oil tank vessel identified as ------------ Hull No. 1177 in the shipbuilding contract dated November 24, 1997 between Builder and U.K. Lessor.

Other Vessel means the ocean freight barge “Xxxxx Xxxxxx” (O.N. 641530) together with all machinery, engines, instruments, rigging, anchors, chains, cables, tackle, apparel, accessories, equipment, radio installation and navigational equipment (other than personal computers and company-specific data, Leased Equipment and personal gear, which USUOS shall remove from the Vessel prior to Closing Date), inventory, stores, spare parts and all other appurtenances used in or relating to the Vessel, whether or not on board, and fuel, lubricant and bunkers on board the Vessel.

Other Vessel means any New Vessel which either (i) does not qualify as an Additional Vessel or (ii) the Representative Borrower has not requested be designated an Additional Vessel in accordance with Clause 3.1(h) (Conditions precedent).
